Um...

1. Read all of the Tutorials.
2. Get and pay for MS3D.
3. Install all relevant plugins.
4. Convert all textures to either DDS DXT1 (preferred) or TGA (last resort) formats.
5. Import whatever ships you want in your mod into MS3D, and export the CMPs.
6. Swear a lot, when you find out that, for whatever reasons, they aren't right. Re-read the tutorials.
7. Successfully export the models, resize them and an appropriately-shaped SUR with FLModel Tool, and put hardpoints on with HardCMP.
8. Code them up using my wonderfully easy H-Fuel Tanker mod or my XML Toolkit Mods as a guide.
9. Enjoy them in the game, about a week after you've started learning things.
10. Make Icon 3DB files by using FLModel Cloner to clone existing icons with new Part and MAT names.

Good luck, and remember- it may not be easy, but it's not hard- all of the steps you need to take are documented on this website, and the Search function is easy to use.
